License grant

Ordexa grants the customer a limited, nonexclusive, nontransferable, revocable license to use the software for the customer’s authorized internal business operations.

Ownership

Ordexa retains ownership of the application, source code, design, documentation, branding, workflows, and related intellectual property. Customers retain ownership of the operational data they enter into the system.

Restrictions

You may not copy or redistribute the software; sell, rent, sublicense, or commercially exploit access; reverse engineer, decompile, disassemble, decode, or attempt to discover source code; create unauthorized derivative works; or remove copyright, trademark, or ownership notices.

You may not circumvent authentication, security, usage limits, or access controls; scrape or automatically extract data without written authorization; access the software to build or assist a competing product; share credentials with unauthorized users; use the software unlawfully; or interfere with another user, account, network, or system.

Customer data

You authorize Ordexa to process the operational data you submit only as needed to provide, secure, maintain, and improve the service. You are responsible for having the rights and permissions needed for that data.

Third-party services

Optional integrations are provided through third-party services and may be subject to their separate terms. Ordexa is not responsible for a third party’s availability or independent practices.

Suspension and termination

This license ends when your account or access is terminated. Ordexa may revoke the license or suspend access when needed for security, legal compliance, or a breach of this Agreement.

Disclaimers and limitation of liability

The software is provided as-is and as-available, without warranties not expressly stated here. To the fullest extent permitted by law, Ordexa will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, or business opportunity arising from use of the software.

Governing Law

This Agreement and any dispute arising from or relating to this Agreement, the software, or the services provided by Ordexa shall be governed by and interpreted under the laws of the State of Texas, without regard to its conflict-of-laws principles. Any legal action arising from or relating to this Agreement shall be brought in a court of competent jurisdiction located in Harris County, Texas, and each party consents to the jurisdiction of those courts.
